Terms and Conditions

THIS limited license (the "Agreement") is granted by SRC, Inc. a New York not-for-profit corporation with an office located at 7502 Round Pond Road, North Syracuse, New York 13212 ("SRC") to you ("Licensee"), upon the terms and conditions stated herein. By downloading and using the SRC Content, as described below, you are consenting to be bound by all of the terms and conditions of this License:

1. PURPOSE AND DURATION OF AGREEMENT. The purpose of this Agreement is to grant Licensee a limited license to use the SRC Content (the "Content," downloadable at this website) upon the terms and conditions stated in this Agreement. The term of this Agreement shall begin on today's date and shall continue for one year, unless earlier terminated as otherwise provided in this Agreement.

2. GRANT OF LICENSE. SRC hereby grants Licensee the non-exclusive and royalty-free right to use the Content, subject to the terms and conditions stated in this Agreement . SRC shall maintain ownership of the Content and this Agreement shall confer no rights of ownership or sale upon Licensee.

3. USE OF CONTENT. Licensee may not use the Content in connection with the endorsement of an individual or group for elected office, or for any unlawful purpose whatsoever. Licensee agrees that Licensee's use of the Content shall not be derogatory to or critical of SRC or any individual associated with SRC.

Licensee shall use the Content only as follows:

• Please ensure that the SRC logo is used exactly as supplied and never altered. The SRC logo must not be "stretched" or distorted in any way - sizing the logo is only acceptable when the proportions are maintained. The SRC logo needs to appear in its primary colors (PMS 288 and PMS 7461) or (CMYK C100-M75-Y6-K24 and C98-M24-Y1-K3). The tagline always appears at 60% black. In black-and-white applications (e.g. newspaper advertising), the grayscale version should be used (SRC at 100% black and arrow mark at 60% black). For anything to appear in a digital medium (such as a computer screen, television, kiosk, etc) - use RGB (R0-G44-B119 and R0-G131-B190) color format. 4. RIGHT OF TERMINATION. Each party reserves the right to terminate this Agreement upon ten (10) days written notice to the other party without giving any reason for such termination. SRC shall have the right to terminate this Agreement immediately upon material breach of the Agreement by Licensee.

5. LAW GOVERNING THIS AGREEMENT. This Agreement shall be interpreted in accordance with, and all questions as its validity and effect shall be governed by, the laws of the State of New York, without regard to its conflicts of laws provisions. The venue of any litigation arising out of this Agreement shall be in a court of competent subject matter jurisdiction located in Onondaga County, New York.
